The term “Client” refers to you, the user of this website and the consumer of goods and services provided by Sprout Promotions, Inc..

Terms and Conditions

1.         Artwork Submission - Copyrights and Trademarks

Client acknowledges and agrees that Client owns, licenses, or permits for use all copyrights, trademarks, logos, designs, intellectual property, pictures, and all other forms of artwork submitted to Sprout Promotions, Inc. for reproduction on promotional products or advertising specialties. Clients agrees that the artwork submitted to Sprout Promotions, Inc. does not violate common law nor does it infringe on any copyrights, trademarks, contract rights, or moral rights held by other personal, business, or organizational entities. Client agrees that Sprout Promotions, Inc. has permission to reproduce artwork submitted and will hold harmless Sprout Promotions, Inc. from any claims, suits, or other proceedings brought forth by copyright or trademark infringements or illegal use of the artwork. Client will pay all damages assessed (including attorney costs and fees) against Sprout Promotions, Inc. for losses and damages associated with any claim, suit, or proceeding that results from illegal or misuse of artwork as described herein.

2.         Artwork Submission – File Format and Quality

Client acknowledges and agrees that Sprout Promotions, Inc. or one if its affiliated vendors or suppliers will inspect artwork prior to fulfilling an order request to verify that artwork format and quality comply with reproduction standards. In the event artwork does not meet reproduction standards, Sprout Promotions, Inc. will contact Client to discuss and agree to any additional or unexpected costs associated with the proper reproduction of “camera ready” artwork before proceeding with product manufacturing and order fulfillment. Client permits Sprout Promotions, Inc. to modify or alter submitted artwork to meet image resolution and reproduction standards.

3.         Payment

Sprout Promotions Inc. accepts Visa, Master Card, American Express, Discover, electronic wire transfer, money orders, or company check (on approved credit and prior to order fulfillment). Client acknowledges and agrees that Client’s credit card will not be charged until products have been shipped to Client. Client agrees to pay in full via cash advance prior to Sprout Promotions, Inc. manufacturing or fulfilling an order for Client if Client does not wish to secure the order with a credit card authorization or approved line of credit from Sprout Promotions Inc.. Client further agrees to pay applicable state, local, and district taxes associated with the sale of goods unless Client supplies Sprout Promotions, Inc. with a tax exemption certificate. All payments to Sprout Promotions, Inc. will transact in US currency. 

Payments submitted online through the secure form are transmitted directly to Sprout Promotions, Inc..  Client agrees all payment information submitted online through the secure form is correct and accurate and Client grants permission to Sprout Promotions, Inc. to proceed with credit card charges, electronic wire transfers, and PayPal transactions.

Sprout Promotions, Inc. will grant to Client net 30 day payment terms on approved credit and prior to order fulfillment. Client must contact Sprout Promotions, Inc. to request a credit application.

4.         Order Quantity and Accuracy

Client acknowledges and agrees that Sprout Promotions Inc. will charge Client for products received by Client. Client understands that quality control and manufacturing specifications may result in a product over run or under run and Client agrees that Client may not receive the exact quantity of products ordered from Sprout Promotions, Inc.. Client may resolve product order variations by contacting Sprout Promotions, Inc. and Client agrees that an over run or under run does not constitute a breach or violation of the order. Client will hold harmless Sprout Promotions, Inc. from any claims, suits, or other proceedings brought forth by an over run or under run as described herein.

5.         Shipping and Delivery

Client acknowledges and agrees that Sprout Promotions Inc. can normally produce and ship products requested by Client by a specified delivery date and to a specified delivery location. If a product cannot be produced and shipped to Client by the specified delivery date or to a specified delivery location, Sprout Promotions, Inc. will notify Client of the delay or the change in delivery location and make reasonable efforts to rectify the order and purchase. Client acknowledges and agrees that multiple orders, rush orders, split shipments, delivery dates, delivery locations within the United States, and transit methods can change for any reason.

Client acknowledges and agrees that Sprout Promotions, Inc. is not responsible for damages or losses that occur in transit by a third party freight carrier (such as UPS, FedEx, or DHL) and Client will hold harmless Sprout Promotions, Inc. from claims, suits, or proceeding resulting from damages or losses that occur in transit. Client agrees that shipping charges and delivery methods vary depending on shipment weight and quantity and Client permits Sprout Promotions, Inc. to identify and use at its sole discretion a shipment or delivery method or carrier that will be suited to deliver products to Client by the specified delivery date and to a specified delivery location. Client will hold harmless Sprout Promotions, Inc. from any claim, suit, or proceedings that arise from shipping or delivery changes, delays, product damages, or other complications described herein.

6.         Order Changes and Cancellations  

Client may request a change to an order or an order cancellation prior to the vendor manufacturing stage of the order. Client agrees to pay vendor set up costs and all vendor or supplier fees associated with changing or cancelling an order. Client acknowledges and agrees that once the manufacturing process has begun Client is responsible for full payment of the order submitted to Sprout Promotions, Inc..

7.         Returns and Refunds

Client agrees to contact Sprout Promotions, Inc. within 10 days of receiving an order if the products are defective, damaged, or otherwise unsatisfactory to Client. Sprout Promotions, Inc. will request an order reproduction upon Client request if Client contacts Sprout Promotions, Inc. within 10 days of receiving the defective, damaged, or unsatisfactory products. Client is responsible for returning all delivered products to Sprout Promotions, Inc. or other delivery location specified by Sprout Promotions, Inc.. 

Sprout Promotions, Inc. will provide a full refund to Client if order reproduction is not satisfactory to Client. Client agrees and accepts that Sprout Promotions, Inc. will not issue a full refund unless all delivered products are returned. Client further agrees that Sprout Promotions, Inc. is not responsible for damages or defects that occur in transit by a third-party freight carrier.

Sprout Promotions, Inc. will make every effort prior to manufacturing an order to ensure that the requested products meet customer expectations for artwork design and production quality. Client acknowledges and agrees that Sprout Promotions, Inc. provides virtual and actual product samples or proofs upon request and Client is aware that such samples and proofs may be used as the standard for manufacturing and production. 

8.         Privacy and Security Disclaimer

Personal, company, and proprietary information submitted to Sprout Promotions, Inc. will not be sold, rented, or otherwise disclosed for commercial use without written permission from Client. Sprout Promotions, Inc. receives and stores Client information for reasons including but not limited to reporting, electronic correspondence, telecommunications, and transactions. Sprout Promotions, Inc. will share Client information with its employees, agents, vendors, or suppliers for the purpose of fulfilling Client orders submitted with Sprout Promotions, Inc.. At its discretion or when mandated by local or federal law, Sprout Promotions, Inc. may release Client information to law enforcement agencies, credit protection agencies, or government agencies to protect its rights, property, directors, shareholders, or employees. Information submitted through the secure payment form is encrypted and protected by Secure Sockets Layer (SSL) software.

9.         Copyright and Trademarks

Sprout Promotions, Inc. does not own or claim rights to company logos, trademarks, or designs illustrated on the promotional products available through this website. These illustrations are examples only. Requesting and purchasing products through this website does not grant Client permission to reproduce or use logos, trademarks, or designs.

The design and contents of this website, excluding company logos and trademarks on promotional product illustrations, are copyrighted materials owned by Sprout Promotions, Inc.. All rights reserved.
